Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and McMurdo Ventures Ltd ("McMurdo Ventures", "we", "us", or "our"), a company registered in England and Wales. Company Number: 17176171.

By accessing or using any platform, product, or service operated by McMurdo Ventures Ltd — including but not limited to Dynamic Reactions, OpsRecord, AskKairo, Ethical Security, Tracelio, AscentPoint, The Tenured, and Idearyx — you agree to be bound by these Terms in full. If you do not agree, you must cease use immediately.

McMurdo Ventures Ltd is a UK-registered holding company operating a portfolio of ventures across the security, technology, and professional services sectors. Each venture operates under the McMurdo Ventures Ltd corporate structure and is subject to these Terms unless a separate, venture-specific agreement supersedes them.

You must be at least 18 years of age to use our platforms and services. By using our services, you confirm that you meet this requirement and that all information you provide is accurate, current, and complete.

4.1 Ownership

All intellectual property rights in and relating to McMurdo Ventures Ltd and its portfolio of ventures — including but not limited to all software, platforms, websites, databases, content, brand names, logos, trademarks, trade secrets, methodologies, concepts, designs, written materials, audio-visual content, and any derivative works — are the exclusive property of McMurdo Ventures Ltd.

4.2 Prohibition on Unauthorised Use

No intellectual property owned by McMurdo Ventures Ltd may be copied, reproduced, distributed, published, modified, reverse engineered, sublicensed, sold, transferred, or used in any manner — whether in whole or in part, commercially or otherwise — without the prior express written permission of McMurdo Ventures Ltd.

This prohibition applies to all ventures, brands, platforms, and assets within the McMurdo Ventures portfolio, including:

• Dynamic Reactions and its marketplace platform, branding, and content
• OpsRecord and its incident reporting system, interface, and data structures
• AskKairo and its AI infrastructure, models, and proprietary architecture
• Ethical Security and its pledge framework, certification system, and registered content
• Tracelio and its personal safety technology, features, and branding
• AscentPoint and its platform design, community framework, and branding
• The Tenured and its marketplace model, design, and content
• Idearyx and its platform architecture, branding, and proprietary tools

4.3 Infringement

Unauthorised use of McMurdo Ventures Ltd intellectual property constitutes infringement and may result in civil and/or criminal liability. McMurdo Ventures Ltd reserves the right to pursue all available legal remedies in the event of any infringement.

4.4 Limited Licence

Subject to these Terms, McMurdo Ventures Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to access and use our platforms solely for their intended purpose. This licence does not convey any ownership rights.

By using our platforms and services, you agree to:

• Provide accurate and truthful information at all times
• Use our platforms only for lawful purposes and in accordance with these Terms
• Not engage in conduct that is fraudulent, harmful, threatening, abusive, or discriminatory
• Not attempt to gain unauthorised access to any system, account, or data
• Not use our platforms to transmit spam, malware, or unsolicited communications
• Not scrape, harvest, or extract data from our platforms without written consent
• Comply with all applicable laws and regulations in your jurisdiction

Where our platforms require account registration, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at johnbotes@dynamicreactions.co.uk if you suspect any unauthorised use of your account.

McMurdo Ventures Ltd reserves the right to suspend or terminate any account at its sole discretion, including for breach of these Terms.

Certain platforms and services operated by McMurdo Ventures Ltd require a paid subscription. Subscription terms, pricing, and billing cycles are set out on the relevant platform. All payments are non-refundable unless otherwise stated or required by law.

McMurdo Ventures Ltd reserves the right to amend pricing with reasonable notice. Continued use of a paid service following a price change constitutes acceptance of the revised pricing.

Our platforms and services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. McMurdo Ventures Ltd does not warrant that our platforms will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

To the fullest extent permitted by applicable law, McMurdo Ventures Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use our platforms or services. Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the amount paid by you to McMurdo Ventures Ltd in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless McMurdo Ventures Ltd and its directors, officers, employees, agents, and subsidiaries from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of our platforms, your breach of these Terms, or your violation of any third-party rights.

Our platforms may contain links to third-party websites or integrate with third-party services. McMurdo Ventures Ltd is not responsible for the content, privacy practices, or terms of any third-party service. Your engagement with third-party services is at your own risk.

McMurdo Ventures Ltd reserves the right to suspend or terminate your access to any platform or service at any time, with or without notice, for any reason including breach of these Terms. Upon termination, all licences granted under these Terms immediately cease.

McMurdo Ventures Ltd may update these Terms from time to time. Updated Terms will be posted on our platforms with a revised effective date. Continued use of our services following any update constitutes your acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

These Terms, together with our Privacy Policy and any venture-specific agreements, constitute the entire agreement between you and McMurdo Ventures Ltd with respect to your use of our platforms and services, and supersede all prior agreements and understandings.
